Terms of Service

1. Engagement
All work is governed by a separate project agreement signed before engagement begins. These terms provide the general framework; the project agreement takes precedence where there is any conflict. No work begins until both parties have confirmed scope and payment terms in writing.
2. Payment
Our standard payment structure is 50% upfront, 50% on delivery. For larger projects, milestone-based payment schedules are agreed in writing before work begins. All invoices are due within 7 days of issue. Late payments may pause active development.
3. Intellectual Property
Upon receipt of full payment, all intellectual property rights in deliverables transfer to the client. This includes source code, design assets, documentation, and any custom tooling produced specifically for the engagement. Nexora retains no rights to use client-specific deliverables in other projects without explicit written consent.
4. Confidentiality
We treat all client information, business details, and project specifics as confidential. NDAs are available on request and will be signed before any sensitive information is shared. We do not discuss active or past client work publicly without written permission.
5. Scope and Changes
The agreed project scope is documented before work begins. Changes to scope requested after work has started may affect timeline and cost. Any scope changes are confirmed in writing before being actioned. We do not absorb scope creep silently.
6. Post-Launch Support
All projects include a 30-day support window post-launch at no additional charge, covering bugs and issues directly related to our delivered work. Support does not cover new features, third-party service failures, or issues introduced by client modifications.
7. Limitation of Liability
Nexora's liability in connection with any project is limited to the fees paid for that engagement. We are not liable for indirect, consequential, or incidental damages arising from the use or inability to use delivered software.
8. Governing Law
These terms are governed by the laws of India. Any disputes shall be resolved through good-faith negotiation. If unresolved, disputes are subject to the jurisdiction of courts in Tamil Nadu, India.
